Terms of Service

Introduction
Welcome to uknowa. By completing the user registration process, you agree to be bound by the terms and conditions below set out by The Uknowa Group Inc, hereafter known as "uknowa," with respect to your use of the service.
This agreement, effective December 1st 2009, is bound to all current users and new users upon completing signup.

The uknowa website is fully owned and operated by Uknowa Group Inc.

Site Usage
Your right to use the Service is subject to any limitations, conditions and restrictions established by us from time to time, in our sole discretion. We may alter, suspend or discontinue any aspect of the Service at any time, including the availability of any Service feature, database or content. We may also impose limits on certain features and aspects of the Service or restrict your access to parts or all of the Service without notice or liability.

Conduct
Users of the site will not interfere with other user’s listing or profile; use user information to distribute SPAM, chain letters or unsolicited emails; harvest user information such as email, address, and phone numbers without their explicit consent; post defamatory, inaccurate, or otherwise misleading information or libelous content (including personal information); or circumvent or manipulate our fee structure, the billing process, or fees owed to uknowa.

Forum Usage and Moderation Policy
The purpose of the public Q&A job forum is for contractors to gain more information regarding a job post prior to placing a bid, and for customers to save time by reducing the need to answer the same question twice.

The following message content is deemed inappropriate for our public Q&A job forums:
1. Slander or personal criticism of another contractor, the customer, or uknowa's platform and/or staff.
2. Posts that contain only your company name and contact information.
3. Racism.
4. Bullying and harassment.
5. Suggests illegal activity.

uknowa reserves the right to remove comments that we feel are an inappropriate use of our public Q&A job forums. Continued misuse of the public Q&A job forums may result in the suspension of your account.

Governing Law and Jurisdiction
This Agreement shall be governed in all respects by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes arising in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Province of Ontario and the Federal courts applicable within the Province. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. Promotions and competition
If uknowa runs promotions or competitions, we may modify the Terms of Service and implement additional terms and conditions. Any changes made will be posted within the contest or promotion for review.

Accuracy of information
As a user, you must provide up-to-date and accurate information as requested. It is a user’s responsibility to provide uknowa with any changes to past information provided. All personal information uknowa gathers is subject to the Privacy Policy listed below

Content
When you provide us with content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, and multi-tiered sublicensable right to exercise the copyright, publicity, and database rights (but no other rights) you have in the content, in any media known now or in the future. This right will provide us (but is not limited to) usage of posted content on uknowa for promotional material, contests, and advertising. All user-generated content on the site becomes the property of the uknowa Group Inc upon posting. This content includes ratings, testimonials, reviews, and blog posts.

User Accounts
Your account is for your personal use only. You may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity. You acknowledge that uknowa is not responsible for third-party access to your account resulting from theft of your usernames and passwords. You must notify uknowa if you believe your account has been compromised. If we believe you have violated the Terms of Service, we have the right to revoke or suspend the account in question at any time without notice.
There are two types of accounts on uknowa:
1. Consumer account. This account is strictly for non-commercial, personal use only. This account will allow you to post user content (e.g., projects and profiles) and manage your posted projects. We suggest you provide a complete profile with all optional fields populated. You may not, however, knowingly provide false information (e.g., address or name)
2. Professional account. This account is used on the site as a representation of your business. To create this account you must be an authorized representative of the company. In completing the registration process you agree that all information is correct and accurate. Creating an account with false information is strictly prohibited and is subject to termination. This account will allow you to post business content (e.g., profiles and limited external testimonials), manage projects, bid on projects, and post projects.

Copyright
uknowa content is protected by intellectual property laws, including copyright law and trademark law. No part of uknowa content should be reproduced, adapted or communicated without the written consent of the copyright owner. You may only use information for your own personal reference.

Advertising and third party links
If hyperlinks and other redirection tools taking the user to other websites operated by third parties appear on uknowa, the user acknowledges that these websites do not form part of uknowa, and are not controlled by uknowa.
Furthermore, these advertising links do not reflect the views of uknowa. uknowa is not responsible for the content of these sites.

Fees and Services
Users: you may post jobs through uknowa, use our business networking tools, and hire a contractor for free. Contractors: Currently, our business networking tools, job lead system, and business profile are all free. We reserve the right to start charging for these services in the future. If your bid on a job is selected by a customer by clicking ‘Hire’ on your bid, uknowa will invoice you for a Success Fee of 5% capped at $500. This invoice is due 14 days from the time the customer clicks ‘Hire’. This fee will be indicated to you prior to you entering a bid. We reserve the right to adjust the success fee percentage as well as the cap.

Limitation of Liability
You will not hold uknowa responsible for other users’ content, actions and inactions, or services they provide. You acknowledge we are not a traditional service directory or auction site. You acknowledge that we are instead a venue for anyone to offer – or purchase – nearly any type of service. We are not involved in the actual transaction between consumers and professionals and do not have control or guarantee the quality, safety, or legality of services listed, the ability of consumers to pay for services, or any certainty that a consumer or professional will actually complete a transaction. The accuracy of content or information provided on the site is provided in good faith by users and professionals and is not verified by uknowa. It is solely up to the users to verify information.

If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Indemnity
You will not indemnify or hold us (us being officers, directors, agents, subsidiaries, joint ventures, and employees) to any claim or demand, including reasonable attorneys’ fees, made by any third party due to, or arising from, your breach of this Agreement, violation of any law, or compromise of any other third-party rights.

No Agency
You and uknowa are independent contractors and no agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this Agreement.
